The FPA Queens Road Value Fund (“Fund”) commenced operations on June 13, 2002. Periods greater than one year are annualized. Fund performance is shown net of all fees and expenses and includes reinvestment of all distributions. Fund performance does not reflect the deduction of taxes that a shareholder would pay on Fund distributions or the redemption of Fund shares, which would lower these figures. An investor cannot invest directly in an index.
* Prior to November 1, 2020, the performance shown reflects the historical performance of the Fund when Bragg Financial Advisors, Inc. (“BFA”) served as investment adviser of the Fund.
From inception of the Fund to December 31, 2004, BFA and its affiliates voluntarily absorbed certain expenses of the Fund and voluntarily waived its management fee. Had BFA not done this, returns would have been lower during that period. Effective January 1, 2005 through October 31, 2020, BFA had a unitized fee structure that limited operating expenses to 0.95%.
The Fund’s Total Annual Operating Expenses (as of the most recent prospectus) before reimbursement are 1.36%. The adviser has contractually agreed to waive management fees and reimburse the Fund for operating expenses in excess of 0.73% of average daily net assets of the Fund, excluding interest, taxes, brokerage fees and commissions payable by the Fund in connection with the purchase or sale of portfolio securities, fees and expenses of other funds in which the Fund invests, and extraordinary expenses, including litigation expenses not incurred in the Fund’s ordinary course of business, until September 30, 2026. These fee waivers and expense reimbursements are subject to possible recoupment by the adviser from the Fund in future years (within the three years from the date when the amount is waived or reimbursed) if such recoupment can be achieved within the lesser of the foregoing expense limits or the then-current expense limits. Similarly, the adviser is permitted to seek reimbursement from the Fund, subject to certain limitations, of fees waived or payments made by adviser to the Predecessor Fund (defined below) prior to the Predecessor Fund’s reorganization on July 28, 2023, for a period ending three years after the date of the waiver or payment. This agreement may be terminated only by the Fund’s Board of Trustees, upon written notice to the adviser.

Dear Fellow Shareholders:
FPA Queens Road Value Fund (“Fund”) returned -2.93% for the fourth quarter of 2025. This compares to the S&P 500 Value Index (“Index”) return of 3.20% for the same period. For the full year of 2025, the Fund returned 6.05% while the Index returned 13.19%.
Like all investors right now, we are being forced to reckon with the rapidly advancing capabilities of artificial intelligence. This month, the shares of insurance brokers, professional publishers, truckers and wealth managers cratered in quick succession as the market caught wind of a recently launched AI native competitors.1 We believe that AI will greatly contribute to efficiency and productivity gains in each of these industries. But at this point, it seems unknowable if those gains will be captured by incumbents or upstarts. And we suspect that this list of businesses isn’t unique – AI will impact the business processes of all industries.
The AI driven carnage has been most pronounced in software, with the S&P Software Index down over 20% year to date, as of February 12, 2026.2 The ability of AI to write code has clearly changed the game, although at this point we can’t speculate how exactly this will all play out. Still, it seems to us that the future has clearly become more uncertain and that the level of competitive intensity has gone up. Software businesses that were previously considered annuity toll roads (with positive net retention) are now facing rapidly shifting product cadences, changing go-to-market models, hesitant and fickle customers and AI native competitors that are able to innovate with increasing speed.
Our exposure to the software companies most impacted is minimal. But this isn’t because we had a differentiated view of software as a business model. It is because software, as a sector, was expensive. We thought investors were paying full price for a rosy set of projections, even if those rosy projections generally came true. And, in our opinion, software stocks are still expensive given the wide range of outcomes that they are facing. For example, Salesforce (CRM), is down over 40% since the end of 2024.3 But, as of this writing, the stock still trades at 16x Jan-26 (heavily) adjusted earnings excluding stock comp, 20x non GAAP earnings that (appropriately) include stock comp, and 25x GAAP earnings.4 We agree that Salesforce’s CRM isn’t getting ripped out tomorrow. But to us, current software valuations still require a strong and positive opinion on what the out year earnings look like.
During previous technological disruptions, legacy business models often persisted far longer than the initial Cassandras assumed. But we believe the stocks of those disrupted businesses often end up being value traps. While all eyes are on software, we prefer buying stocks that are cheap because they are boring and overlooked.

Trailing Twelve Month Top and Bottom Contributors5

Our top performers on a twelve month basis include three financials, American Express, JP Morgan Chase and Bank of New York Mellon, which benefitted from a resilient economy, favorable credit conditions and strength among high end consumers. Oracle sells cloud compute and databases and has been an AI winner. General Dynamics is a defense prime contractor and is benefitting from higher expected defense budgets.
For the year, Fiserv was our worst performer by far. On October 29, the stock tumbled 40% when the company missed Q3 earnings, cut its outlook and named a new CFO.6 It was the first earnings under new CEO Mike Lyons and one of the largest “company resets” that we have seen. Centene is a health insurer that is facing dual pressure from higher medical costs and lower government reimbursement rates on its large Medicaid book. Ameriprise is a large investment advisor with a parallel platform supporting independent agents. Earnings continued to grow in 2025 but the multiple came in slightly. Similarly, Ingersoll Rand and Eaton are two industrials that have performed very well since Covid but took a breather last year.
At its most basic, our process compares a company’s current price to what we expect the business to look like three to five years out. Our four pillar process – balance sheet strength, valuation, management, and industry analysis – provides guidance and guardrails. Taking a long-term view has served us well in the past and we are confident that our disciplined and patient approach will continue to be rewarded over the long-term.
In our experience, when there is exuberance in the markets, it is usually overdone. But when markets get volatile and the pundits predict doom and gloom, it is usually overdone as well. We acknowledge the heightened uncertainty as well as the headwinds the economy faces. But given the current valuations and long-term fundamentals of the Fund’s holdings, we feel positive about the portfolio and remain significant co-investors with you.
